Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern access to the Accepire AI Gateway website and platform (the "Service") provided by Accepire Techsol Private Limited ("Accepire", "we", "us", or "our"). By accessing the Service, you agree to these Terms.

Enterprise pilots and production deployments may also be governed by an order form, master services agreement, data-processing agreement, support schedule, or other written contract. If that contract conflicts with these Terms, the signed contract controls to the extent of the conflict.

2. Service description

Accepire AI Gateway is an enterprise AI access and governance platform. It can connect authorized users and applications to customer-approved Azure OpenAI or Microsoft Foundry deployments through web chat, Microsoft Teams, and OpenAI-compatible APIs. Available capabilities depend on the licensed scope, deployment architecture, and customer configuration.

Accepire AI Gateway provides technical controls and evidence capabilities. It does not by itself guarantee compliance with any law, regulation, standard, or internal policy.

3. Customer environment and third-party services

Private deployments may run in an Azure environment controlled by the customer. The customer is responsible for its Azure subscription, cloud configuration, networking decisions, model deployments, Microsoft licences, third-party services, and associated charges unless a signed agreement states otherwise.

Use of Microsoft Azure, Azure OpenAI, Microsoft Foundry, Microsoft Teams, and other third-party services is also governed by the customer’s agreements with those providers.

4. Accounts and access

You must provide accurate information, protect your credentials, and use only the workspace and functions you are authorized to access. Workspace administrators are responsible for assigning roles, configuring policies, and removing access when it is no longer required.

API keys must not be published, embedded in public client code, or shared outside the authorized purpose. Suspected compromise must be reported and the affected key revoked promptly.

5. Acceptable use

You must not use the Service to:

• Violate applicable law, contractual obligations, or the rights of another person
• Gain unauthorized access to systems, accounts, models, or data
• Bypass access controls, rate limits, data-protection rules, or audit mechanisms
• Introduce malicious code or interfere with the availability or integrity of the Service
• Expose credentials or intentionally submit data you are not authorized to process
• Reverse engineer the Service except where applicable law expressly permits it

6. Fees, invoices, and taxes

Implementation, software licensing, support, and optional managed services are priced in the applicable proposal or order form and billed by invoice. Payment schedules, renewal terms, expenses, taxes, and late-payment provisions are defined in the signed commercial agreement.

Azure infrastructure and model-consumption charges are normally billed by Microsoft directly to the customer and are not included in Accepire AI Gateway fees unless expressly stated in writing.

7. Customer content and AI output

The customer retains its rights in content submitted through the Service. AI output may be inaccurate, incomplete, or unsuitable for a particular purpose and must be reviewed before consequential use. Ownership and permitted use of model output may also be subject to the relevant model provider’s terms.

The customer is responsible for determining which data may be submitted, configuring appropriate policies, and ensuring users have authority to process that data.

8. Intellectual property

Accepire AI Gateway, including its software, design, documentation, and underlying technology, is owned by Accepire or its licensors. A customer receives only the licence and access rights stated in its written agreement. No ownership rights are transferred unless expressly agreed in writing.

9. Security, availability, and support

Security responsibilities are shared across Accepire AI Gateway, the customer, Microsoft Azure, connected model services, and any integrated tools. Deployment architecture, service levels, support response targets, backup responsibilities, and maintenance arrangements are governed by the applicable agreement.

10. Suspension and termination

We may suspend access when reasonably necessary to address a security threat, unlawful use, material breach, or risk to the Service. Contract termination, transition assistance, data return, and deletion are governed by the applicable agreement. Website accounts without a separate agreement may be closed by contacting us.

11. Disclaimers and liability

Warranties, indemnities, liability limits, and remedies for enterprise services are stated in the applicable signed agreement. For website use not covered by such an agreement, the Service is provided on an “as available” basis to the extent permitted by law, and Accepire excludes indirect, incidental, special, and consequential losses.

12. Changes

We may update these Terms and will revise the date shown above. Material contractual changes affecting an enterprise deployment will be handled according to the applicable agreement rather than solely through a website update.

13. Governing law

The governing law and dispute forum for an enterprise engagement are specified in its signed agreement. Where no separate agreement applies, these Terms are governed by the laws of India and disputes are subject to the courts of India, subject to mandatory applicable law.
